We provide unbiased ratings advisory through in-depth financial modeling and assistance in presentations with rating agencies. Caraman works with our clients to understand the perspective of the rating agencies, how the client’s financials compare to its primary competitors in its sector, and interacts and communicates with rating agencies during any financing or corporate transaction to achieve an optimal ratings outcome.
Caraman advises mid-sized and small capitalization companies on the transaction and financing structures to take their companies private, allowing them to shed the disclosure requirements, quarterly earnings races, and regulatory complexities of being publicly traded. We work with management teams and Independent Committees of the Board of Directors in selecting the best possible method for going private to focus on both “fair dealing” and “fair price” in the transaction. Caraman also works with the general counsel and external corporate counsel in preparing requisite filings (13E-3, 13D, and 14A, 15-12(g)) that may be required as part of going private.
